Start with the underlying instrument
A tokenized share may carry voting, dividend, information, and residual-asset rights defined by corporate and offering documents. A tokenized bond may specify principal, interest, maturity, priority, and default remedies. A fund token may represent an interest whose value follows a managed portfolio under stated valuation and redemption procedures.
These examples are not interchangeable. Analysts should read the instrument terms before examining blockchain features, because a fast transfer system cannot improve a weak covenant or change payment priority. The issuer's identity, assets, duties, and financial condition remain central even when ownership records use distributed-ledger technology.
For U.S. federal law, the SEC's March 2026 Commission interpretation, effective March 23, 2026, superseded the withdrawn 2019 staff framework. It distinguishes a digital security, which is itself a security, from a non-security crypto asset that may be offered or sold subject to an investment contract, and explains when that asset may later separate from an issuer's promises about essential managerial efforts. Separation does not erase registration or antifraud consequences from an earlier securities transaction, and the fact-sensitive analysis remains different from identifying an instrument that is already an enumerated security.
The token and the official record
A key structural question is whether the blockchain ledger is the authoritative ownership record or synchronizes with an offchain register maintained by an issuer, transfer agent, custodian, or administrator. If records conflict, governing documents and applicable rules determine which entry controls and how corrections occur.
Token possession may be necessary but not sufficient to exercise rights. An issuer may need verified identity, tax information, or registration in a holder record before paying distributions. Lost keys, court orders, or inheritance can also require an authorized reissuance process that differs from the irreversibility associated with unadministered crypto assets.
Compliance can be encoded, not completed
Smart contracts can enforce address allowlists, holding limits, lockup periods, jurisdiction flags, or administrator-approved transfers. These controls can reduce certain processing errors and make policy execution auditable. They still depend on accurate offchain facts, secure administrator keys, current rules, and procedures for exceptions and disputes.
Identity verification, disclosure delivery, suitability or eligibility checks, market conduct, custody, and reporting cannot be reduced to a token balance. A wallet address is not a complete legal identity. Projects therefore connect blockchain controls to regulated service providers and records, creating dependencies that must be assessed rather than described as disintermediation.
Trading and liquidity remain constrained
Technical transferability does not ensure an active market. Eligible buyers may be limited, venues may need authorization, issuer information may be sparse, and settlement procedures may differ between platforms. A token can settle efficiently yet trade infrequently with a wide spread and little depth.
Valuation should follow the underlying claim: expected contractual cash flows, issuer credit, seniority, governance rights, asset value, restrictions, and liquidity. A security token is not automatically worth more because it uses a blockchain. Technology may reduce some administrative costs while adding contract, key-management, interoperability, and service-provider risks.
Perform a rights-and-controls review
Begin with counsel-reviewed documents and identify the exact issuer, instrument, governing law, offering route, holder eligibility, transfer restrictions, and dispute forum. Determine whether the token grants equity, debt, fund, revenue, or another defined claim, and avoid inferring rights from a project name or dashboard label.
Then map operational delivery: who verifies investors, controls minting, maintains the register, safeguards assets, pays distributions, processes corporate actions, replaces lost tokens, and handles insolvency. Review contract code and administrator powers, but treat them as one component of a broader legal and institutional arrangement.
