BitGo completes acquisition of NYDIG's institutional trading business

About 30 NYDIG employees and their institutional client trading relationships joined BitGo, according to the release. The Block independently reported that BitGo's stock closed up 1.99% at $7.16 on Thursday; the move is market context, not evidence that the acquisition will produce financial gains.

A Form 8-K filed with the SEC sets the consideration at $7 million in cash and approximately $35.5 million in BitGo stock, plus contingent cash and stock worth up to another $15 million if revenue milestones are reached. The filing also describes registration rights for the shares and milestone-linked retention awards for transferred employees.

A broader institutional stack

NYDIG's trading unit serves asset managers, hedge funds, corporates, family offices and other market participants with liquidity, risk-management and customized trading needs. BitGo says the unit will strengthen its existing custody, wallet, settlement and trading services by adding financing and derivatives capacity.

The combination follows a broader institutional-services model: one provider handles more of the lifecycle from custody and settlement through execution and financing. That may reduce the number of counterparties clients manage, but it also concentrates operational, compliance and integration risk inside a larger platform.

NYDIG turns toward power and compute

NYDIG says the transaction lets it focus resources on power generation, bitcoin mining and high-performance-computing data centers. Its release describes a development pipeline exceeding 3 gigawatts, with more than 1 gigawatt deliverable in 2027 and 2028; those are company projections, not delivered capacity.

The filing does not disclose the expected revenue contribution, client-consent arrangements or the probability of the earnout. The confirmed change is the transfer of the trading business and team, while the value of the combined platform will depend on client retention, execution and the cost of integrating the operations.
